J. Nathan Cole
Founding Partner
J. Nathan Cole is a trial lawyer and founding partner of Cole Law Partners, P.C., recognized across Massachusetts and New England as one of the leading voices in construction litigation and complex commercial disputes. In February 2026, Nate argued before the Massachusetts Supreme Judicial Court in J.C. Cannistraro, LLC v. Columbia Construction Co. (SJC-13819), a landmark case interpreting the Massachusetts Prompt Payment Act that the construction bar has called one of the most consequential decisions pending before the Court in years. The case — which Nate has litigated from arbitration through Superior Court through the SJC — will shape how payment disputes are resolved on private construction projects across the Commonwealth.
Nate regularly appears before Massachusetts Superior Courts, the U.S. District Court for the District of Massachusetts, and in private arbitrations and mediations on behalf of general contractors, subcontractors, developers, business owners, and manufacturers. His practice is focused on construction disputes, commercial litigation, real estate matters, and insurance coverage — the cases where the stakes are high, the contracts are complex, and the outcome matters to more than just the bottom line.
In construction, Nate handles the full range of disputes that arise on private and public projects across Massachusetts: payment claims and Prompt Payment Act enforcement, delay and lost productivity claims, mechanic’s liens and bond claims, construction defect defense, bid protests, change order disputes, and coverage interpretation issues. He has tried construction cases to verdict, won motions to vacate arbitration awards, secured summary judgments in multi-million dollar disputes, and argued before the Commonwealth’s highest court. He is equally at home in a conference room negotiating a resolution that keeps a business relationship intact and in a courtroom fighting for a result that protects his client’s rights.
In commercial litigation, Nate represents businesses in breach of contract disputes, partnership and shareholder conflicts, Chapter 93A and business tort claims, and commercial lease disputes across industries including construction, real estate, retail, and technology. His federal court experience includes complex commercial matters before the U.S. District Court for the District of Massachusetts, where he has secured summary judgment on significant commercial disputes.
Nate understands that litigation is a means to an end — not the end itself. His risk management practice reflects that philosophy. He drafts construction contracts, reviews insurance programs, advises on compliance, and works with clients before disputes arise to position them for the strongest possible outcome if conflict becomes unavoidable. For contractors, developers, and business owners who want a counselor rather than just a litigator, Nate brings the credibility of a trial-tested advocate to every contract review and risk analysis he performs.

As President-Elect of the Massachusetts Defense Lawyers Association, Chair of the Massachusetts Bar Association’s Real Estate Development and Construction Law Steering Committee, and a member of MCLE’s Civil Litigation Curriculum Advisory Committee, Nate is actively shaping the development of the law and the profession. He previously chaired the International Association of Defense Counsel’s Construction Law and Litigation Committee from 2022 to 2024 and serves as Northeast Regional Chair of the IADC’s Membership Committee. He is a frequent presenter to bar associations, trade groups, and industry organizations — including the National Electrical Contractors Association’s Greater Boston Chapter and the Massachusetts Defense Lawyers Association — on construction contract drafting, delay claims, payment enforcement, and litigation strategy.
Nate has been selected to the Massachusetts Super Lawyers list every year from 2017 through 2026 — a designation awarded to no more than five percent of Massachusetts attorneys — and previously to the Rising Stars list from 2013 through 2015. Before law school, Nate earned his U.S. Coast Guard 100-ton Near Coastal Captain’s license at age nineteen and captained whale watching and harbor tour vessels out of Plymouth, Massachusetts — an experience that shaped the practical, decisive approach he brings to every matter he handles. He earned his J.D. from Boston College Law School and his B.A. from Bates College.
When not practicing law, Nate spends time with his wife Kristen and daughters Grace and Amelia, and with family and friends on Pleasant Lake in New London, New Hampshire. He enjoys hiking, skiing at Ragged Mountain, and the occasional visit to a watch dealer.

- Argued before the Massachusetts Supreme Judicial Court in J.C. Cannistraro, LLC v. Columbia Construction Co. (SJC-13819, February 2026), a landmark case interpreting the Massachusetts Prompt Payment Act, G.L. c. 149, §29E. Representing the subcontractor, argued that upstream parties who fail to comply with the statutory payment framework forfeit the right to assert counterclaims and defenses after compelled payment — a ruling that will reshape cash flow rights on private construction projects valued over $3 million across Massachusetts.
- Won motion to vacate an arbitration award in J.C. Cannistraro, LLC v. Columbia Construction Co. (Norfolk County Superior Court, December 2024), persuading Judge Keren Goldenberg that the arbitrator exceeded his authority by permitting recoupment claims after a Prompt Payment Act violation. - Won partial summary judgment in Haven Realty Trust v. Corrigan, et al. (Norfolk Superior Court, October 2025), invalidating a $350,000 option-to-purchase agreement as unenforceable due to impermissibly vague lot dimensions and future lot lines — defeating the defendants’ demand for specific performance over 3.838 acres of a Dover property. - Secured summary judgment in Secure Our City, Inc. v. ECI Systems, LLC (U.S. District Court, D. Mass., 2022), convincing the federal court that a liquidated damages clause requiring payment of 25% of the opposing party’s revenue bore no rational relationship to anticipated damages and constituted an unenforceable penalty under Massachusetts law. - Won dismissal of all claims in Saladin v. Kirk and Saladin v. South Coast Music Group (Essex Superior Court, 2024), securing both a failure-to-prosecute dismissal and a ruling denying reinstatement of claims against clients — including entertainer Jonathan Kirk (DaBaby) and his record label — after a five-year pattern of plaintiff’s neglect. - Secured summary discharge of a mechanic’s lien in Atlas Contracting, Inc. v. Saleh (Middlesex Superior Court, 2018), establishing that a contractor must strictly comply with G.L. c. 254, §2, and cannot substitute a different written contract after the fact to cure a defective lien filing.
